Partner Terms & Conditions

1Program Overview

The Trackthemetric Partner Program allows approved agencies and individuals to set up and manage Trackthemetric accounts for their clients. In return, partners earn a 20% recurring commission on subscription fees paid by their referred clients, for as long as those clients maintain an active, qualifying subscription.

2Partner Responsibilities

• •You are responsible for setting up and managing accounts for your referred clients through the Trackthemetric partner portal.
• •You must provide accurate, complete information when registering clients.
• •You may not misrepresent Trackthemetric's services or make false claims.
• •You may not run paid advertisements using Trackthemetric branded keywords (e.g., "Trackthemetric") on search engines or advertising platforms.
• •You are solely responsible for complying with all applicable laws, regulations, and advertising standards when promoting Trackthemetric.

3Referral Tracking

• •We do not track clicks, use cookies, or monitor marketing activities for referrals.
• •The only way to earn commissions is by correctly registering client accounts through the partner portal.

4Prohibition of Self-Referrals

Partners may not refer themselves or any entity they own, control, or have a financial interest in, directly or indirectly.

5Commission Structure

• •Partners receive a 20% recurring commission based on the net subscription revenue (excluding VAT, taxes, discounts, refunds, or chargebacks) generated by each referred client.
• •Commissions are only earned on paid, active, non-cancelled subscriptions to qualifying plans.
• •No commission is paid on free trials, beta programs, or internal promotions unless explicitly agreed otherwise.

6Chargeback, Cancellation, or Refund Consequences

• •If a referred client cancels, disputes, or refunds any payment during the 30-day validation period following payment, any related commissions will be reversed ("clawed back").
• •We reserve the right to deduct reversed commissions from future payouts or to invoice the Partner for recovered amounts if necessary.

8Ban on False Advertising and Unethical Conduct

• •Partners must not engage in false, misleading, unethical, aggressive, or unlawful marketing practices.
• •Partners may not make unapproved claims regarding features, benefits, or results from using Trackthemetric.
• •Partners may not impersonate Trackthemetric in their communications.

9Right to Suspend or Terminate Partners

We reserve the right to immediately suspend, deny payouts, or terminate your Partner account if:

• •We suspect fraudulent activity, self-referrals, false advertising, manipulation of the Program, or abuse of any kind.
• •You breach any of these Terms.

In the case of termination for cause, unpaid commissions may be forfeited without prior notice.

10Ownership of Clients

• •All referred clients are considered customers of Trackthemetric and are subject solely to our Terms of Service, Privacy Policy, and Pricing Policies.
• •Partners do not own the client relationship nor any client data beyond what is explicitly shared during the account setup.

11Commissions Only on Qualifying Products or Plans

• •Commissions are only payable on eligible, fully paid subscription products and services designated by Trackthemetric.
• •We reserve the right to determine which products or plans are commissionable at our sole discretion.

12Right to Modify, Suspend, or Cancel the Program

• •We may modify, suspend, or cancel the Program, including payout rates, structures, eligibility criteria, and other Program terms, at any time with or without prior notice.
• •Material changes will, where possible, be communicated via email or through the partner portal.
• •Your continued participation in the Program after any such changes constitutes acceptance of the modified terms.

13Confidentiality

You agree to maintain the confidentiality of any non-public information about Trackthemetric, including Program details, internal metrics, customer information, or business strategies, that may be disclosed to you during the partnership.

14Limitation of Liability

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenue arising out of or related to the Program, even if we have been advised of the possibility of such damages.

Our maximum aggregate liability arising out of or related to these Terms shall not exceed the total commissions paid to you under this Program in the six (6) months preceding the claim.

15Independent Contractors

Nothing in these Terms shall create any partnership, joint venture, agency, franchise or employment relationship between you and Trackthemetric.

16Geographic Restrictions & Compliance

To comply with international regulations, sanctions, and financial restrictions, Trackthemetric enforces strict geographic limitations on participation in the Partner Program. These rules apply to both individuals and legal entities.

17Governing Law and Jurisdiction

• •These Terms shall be governed and construed in accordance with the laws of Belgium.
• •Any disputes arising under these Terms shall be exclusively submitted to the competent courts of Bruges, Belgium.
